The articles of association of a company aim to define its key principles and rules of operation.
The articles set out, among other things:
- the company’s corporate object
- who will run the company and how (managing directors, Supervisory Board etc.)
- the rules for shareholders (sale and purchase of shares, distribution of dividends etc.)
- each person’s powers (voting rights)
- the rules for majorities during general meetings
